Draft Template for Contract between ISP and Clients

Our business uses radio equipment to bring high speed internet to rural customers. We sometimes must rely on clients who are in strategic locations to assist us in servicing customers who are in more challenging locations. A useful way to think of it is as these clients being local hubs that intercept and rebroadcast our radio signals for us. Clients could have as many as dozens of StokesWifi customers who are accessing internet services through the radio equipment on their property and so depending on them for reliable internet access. We require a contract template that we can use in future negotiations with prospective clients to help ensure that service is reliable for "downstream" customers. StokesWifi's duties in this contract: StokesWifi will compensate the client ___ dollars per month per customer that is using the radio equipment on their property, or ___ dollars per month, which ever total is greater. This will be paid out quarterly via mailed check. If the client is a customer this will be applied to his balance first. StokesWifi will provide the client with at least ___ hours notice before servicing equipment unless otherwise authorized by the client. StokesWifi will only enter the client's property to work on equipment during normal business hours unless otherwise authorized by the client. StokesWifi's equipment will not pull more than ___ watts of power at any given time while functioning within spec. If equipment pulls more than this due to falling out of spec we will replace the faulty equipment and make the client whole by paying any incurred costs above the specified wattage allowance. Client's duties in this contract: The client will allow StokesWifi to access the equipment. The client will allow StokesWifi, at StokesWifi's expense, to remove plant growth that obstructs the path of the radio signal. The client will reliably supply power to the equipment. If the client proves unable to supply power reliably StokesWifi retains the right, if we deem it necessary, to install, and mount equipment on, a pole of dimensions not exceeding ___ diameter or ___ height at location ___, and the cost of this build will come out of their regularly scheduled payments until it's full cost is recouped at which time the client will resume regularly scheduled payments. Anyway, that about covers it. Some final notes: Please don't worry about preserving any of my wording unless you find it useful. I just want you to understand and interpret the ideas and intentions. Also, this isn't going to be one of those contracts that people just sign to get on with it. We are going to go through it with the client point by point so we need it to be as intelligible to the lay person as possible. Finally, we need it to be as short and concise as possible. These are going to be salt of the earth rural folks we are dealing with here, the longer and more litigious the contract is the more likely it will be to frighten them away from the deal.
